The agreement behind the Service.

These Terms of Service (the "Terms") are an agreement between you and [Legal Entity Name] ("KinDock", "we", "us", or "our"), the parent company of which is Muldoon Web Design. By creating an account, accepting an invitation, or using the KinDock website or application (the "Service"), you agree to these Terms. If you are agreeing on behalf of an organization, you confirm that you have authority to bind that organization, and "you" includes that organization.

KinDock is a secure, family-centred communication platform for supported living. It helps people supported, their approved family connections, and support teams share updates, photos, calendar events, secure messages, and video-visit links within clear boundaries and audiences. KinDock is not an electronic health record, case-management, medication, or incident-reporting system, and it does not provide medical, legal, or professional advice.

You must provide accurate account information and keep it current. You are responsible for maintaining the confidentiality of your login credentials and for activity that occurs under your account. You must be of the age of majority in your province or territory to create an account, and you agree to notify us promptly of any unauthorized use. We may refuse, suspend, or reclaim accounts to protect the Service or the people in it.

KinDock recognizes several roles, each with different access:

• Organization administrators manage an organization, its homes, members, and settings.
• Support staff access the people and information for which they hold active assignments.
• Family connections access only the people they are explicitly approved to be connected to.
• People supported are at the centre of the Service; their preferences, voice, and consent stay central to how information about them is shared.

You agree not to:

• access, use, or share information about a person you are not approved to see;
• misuse, copy, or redistribute another person's data outside its intended audience;
• upload unlawful, harassing, demeaning, or harmful content, or content that disrespects the audience;
• attempt to breach security, probe or scan the Service, or circumvent access boundaries;
• use the Service to send spam or to impersonate another person;
• interfere with the operation of the Service or use it to build a competing product; or
• use the Service in violation of any applicable law.

Given the vulnerable population KinDock serves, we treat misuse of others' information as a serious breach that may result in immediate suspension.

When your organization uses KinDock, it is the data controller for the information about the people it supports, and KinDock acts as its processor. Your organization is responsible for obtaining and maintaining the consents required to enter and share that information, for ensuring the information is accurate and lawful, and for managing who is invited and what access they hold. You will use KinDock's consent and audience controls in a manner consistent with your own privacy obligations and the dignity of the people you support.

KinDock offers a 30-day free trial. After the trial, continued use requires a paid subscription to one of our plans, currently KinDock Personal, KinDock Home, and multi-location Organization plans, available on monthly or annual terms. Self-serve subscription billing is provided through Stripe and is coming.

• Fees and taxes. Fees are as described at the time of purchase and are exclusive of applicable taxes, which will be added where required.
• Renewal. Paid plans renew automatically for the same term until cancelled, at the then-current price, unless stated otherwise at purchase.
• Cancellation. You may cancel at any time; cancellation takes effect at the end of the current billing period, and you retain access until then.
• Refunds. Except where required by law, fees already paid are non-refundable. [Refund terms to be confirmed.]

KinDock and its parent company own all rights in the Service, including the software, design, and trademarks. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription, subject to these Terms.

You (and, where applicable, your organization) retain ownership of the content and data you put into the Service. You grant us the limited rights needed to host, process, and display that content in order to provide the Service to you. We do not sell your content and do not use it for advertising.

Our handling of personal information is described in our Privacy Policy, which forms part of these Terms. For organizations that require one, a Data Processing Agreement (DPA) describing our role as processor is available on request.

Each party may receive non-public information from the other in connection with the Service. Each party agrees to protect the other's confidential information with reasonable care, to use it only to perform under these Terms, and not to disclose it except to those who need it and are bound by similar obligations, or as required by law.

We work hard to keep the Service available, secure, and dependable, but we do not warrant that it will be uninterrupted, error-free, or free from loss. Except as expressly stated and to the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by law, KinDock and its parent company will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability arising out of or relating to the Service will not exceed the amounts you paid to us for the Service in the twelve months before the event giving rise to the claim. [Liability cap to be confirmed with counsel.] Nothing in these Terms limits liability that cannot be limited under applicable law.

You agree to indemnify and hold harmless KinDock and its parent company from claims, damages, and reasonable costs arising from your misuse of the Service, your violation of these Terms, or your breach of the consent or privacy obligations for which you are responsible as a data controller.

You may stop using the Service and close your account at any time. We may suspend or terminate access if you breach these Terms, if required for security or legal reasons, or if a subscription is not paid. Where we can do so safely, we will give notice.

On termination, we will make your data available for export for a limited period and then delete or de-identify it in accordance with our Privacy Policy and applicable law, unless a longer retention is legally required. Sections that by their nature should survive termination (including ownership, confidentiality, disclaimers, limitation of liability, and indemnity) will continue to apply.

These Terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada that apply there, without regard to conflict-of-laws rules. [Governing law and jurisdiction to be confirmed.] The parties agree to the exclusive jurisdiction of the courts located in Ontario, Canada for any dispute that is not resolved informally, subject to any non-waivable rights you may have under applicable consumer law.

We may update these Terms from time to time. When we make a material change, we will revise the "Last updated" date and, where appropriate, provide additional notice. Your continued use of the Service after an update means the updated Terms apply to you.
